ClearPath Telecom LLC
Welcome to ClearPath Telecom LLC (“ClearPath Telecom,” “Company,” “we,” “our,” or “us”). By accessing or using our services, systems, websites, platforms, SIP infrastructure, hosted dialers, telecommunications services, software, APIs, or related services (collectively, the “Services”), you agree to be legally bound by this User Agreement (“Agreement”).
If you do not agree to these terms, you may not access or use the Services.
1. Services Provided
ClearPath Telecom LLC provides telecommunications-related services including but not limited to:
- Hosted VoIP services
- SIP trunking
- Carrier routing
- Dialer infrastructure
- Telecom software access
- Cloud communications services
- Related support and integrations
Services may change, expand, or be discontinued at any time without notice.
2. Eligibility
You represent and warrant that:
- You are at least 18 years old
- You have authority to enter this Agreement
- Your use of the Services complies with all applicable laws and regulations
3. Acceptable Use
You agree NOT to use the Services for:
- Illegal robocalling
- TCPA violations
- Caller ID spoofing in violation of law
- Fraudulent traffic
- Scam campaigns
- Phishing
- Harassment
- Spam
- Traffic pumping
- Denial-of-service activity
- Any unlawful telecommunications activity
You are solely responsible for all traffic originating from your account, systems, credentials, or users.
4. Compliance Responsibility
Customer assumes full responsibility for compliance with FCC regulations, TCPA requirements, STIR/SHAKEN obligations, state and federal telecommunications laws, Do-Not-Call regulations, consent requirements, and international telecom laws where applicable.
ClearPath Telecom LLC does not monitor or verify customer campaign legality and assumes no liability for customer conduct.
5. No Guarantee of Service
Services are provided on an “AS IS” and “AS AVAILABLE” basis.
ClearPath Telecom LLC does not guarantee continuous uptime, uninterrupted service, call completion rates, specific latency, carrier acceptance, deliverability, routing stability, or compatibility with third-party systems.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARPATH TELECOM LLC SHALL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, DATA LOSS, INDIRECT DAMAGES, CONSEQUENTIAL DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, OR PUNITIVE DAMAGES.
Maximum liability under this Agreement shall not exceed the total amount paid by Customer during the thirty (30) days preceding the claim.
7. Indemnification
Customer agrees to defend, indemnify, and hold harmless ClearPath Telecom LLC, its owners, officers, employees, contractors, and affiliates from any claims, liabilities, fines, damages, lawsuits, regulatory actions, or expenses arising from customer traffic, campaigns, regulatory violations, TCPA claims, robocalling allegations, fraudulent use, illegal traffic, or misuse of the Services.
8. Payments & Billing
All payments are due according to invoice terms.
Failure to pay may result in immediate suspension, service termination, removal of access, or data deletion.
9. Fraud & Security
Customer is solely responsible for securing SIP credentials, API keys, dialer access, user accounts, and authentication systems.
ClearPath Telecom LLC reserves the right to suspend services immediately upon suspected fraud, abuse, or unusual traffic patterns.
10. Termination
We may suspend or terminate Services at any time, with or without notice, for non-payment, suspected fraud, excessive complaints, carrier violations, legal risk, abuse of the network, or violation of this Agreement.
11. Third-Party Providers
Services may rely on third-party carriers, data centers, cloud providers, and upstream vendors.
ClearPath Telecom LLC is not responsible for failures, outages, actions, or policies of third-party providers.
12. No Warranties
ClearPath Telecom LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND PERFORMANCE WARRANTIES.
13. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in courts located in Massachusetts.
14. Modifications
ClearPath Telecom LLC may modify this Agreement at any time. Continued use of the Services constitutes acceptance of updated terms.
